Introduction
This Code of Business Conduct and Ethics Policy ("Code") has been established by the Board of Directors of UVYNOS to promote integrity, honesty, and ethical conduct in all aspects of the company's operations. All employees, contractors, and representatives are expected to adhere to this Code to ensure the highest levels of business conduct.
Compliance with Laws and Regulations
UVYNOS and its personnel must comply with all applicable laws, regulations, and policies of regulatory authorities and governmental agencies. In cases of conflict between law and industry practices, the law prevails.
Insider Trading
UVYNOS strictly prohibits insider trading. Personnel are prohibited from trading in UVYNOS securities or disclosing material non-public information. Exceptions are only allowed in the necessary course of business and under confidentiality obligations.
Conflicts of Interest
UVYNOS personnel must avoid conflicts of interest and disclose any situations where their judgment may be compromised. Undue favoritism or benefits received must be promptly disclosed and addressed.
Anti-Kickback Policy
UVYNOS prohibits kickbacks or any form of improper compensation for favorable treatment. Personnel must report any suspected kickback activity to their immediate supervisor or the General Manager.
Gifts and Entertainment
Offering or accepting gifts, entertainment, or gratuities that could influence business decisions is prohibited.
However, we recognize that the exchange of business courtesies, such as modest gifts, hospitality, and entertainment, including meals, invitations to attend promotional events, or corporate functions, particularly during festive periods, is customary and can foster goodwill and strengthen business relationships. Such courtesies are permissible if they are modest, appropriate, and reasonable in accordance with accepted business practices relevant to the industries in which UVYNOS operates. These courtesies should not be lavish and must not be intended to improperly influence the decisions of the individuals involved.
Anti-Corruption Policy
UVYNOS strictly adheres to anti-bribery and anti-corruption laws. Bribery or corruption in any form is prohibited and may result in legal consequences and damage to the company's reputation.
Confidentiality and Insider Trading
UVYNOS personnel must maintain the confidentiality of company information and comply with insider trading laws. Unauthorized disclosure of confidential information is strictly prohibited.
Company Records and Internal Controls
Accurate and timely reporting of financial and non-financial information is essential. UVYNOS personnel are responsible for maintaining accurate records and complying with internal controls and procedures.
No Discrimination, Harassment, or Workplace Violence
UVYNOS prohibits discrimination, harassment, and workplace violence. All forms of unlawful conduct are strictly prohibited and will result in disciplinary action.
Raising Concerns
UVYNOS encourages the reporting of potential violations of the Code. Concerns or complaints should be promptly reported to supervisors or the ESG Committee anonymously if preferred.
Health & Safety
UVYNOS is committed to providing a safe and healthy work environment. All employees, contractors, and visitors must follow safety rules and report hazards promptly.
Whistleblowing
At UVYNOS, we value a professional and ethical work environment. All employees play a vital role in upholding our company's integrity and success. We encourage all employees to promptly report any wrongdoing, malpractice, or irregularities they observe in the workplace to management for immediate action to minimize potential financial or reputational harm.
Scope of this Policy
This Code applies to all directors, officers, employees, and consultants of UVYNOS and its subsidiaries.
The Board of Directors will review and evaluate this policy annually to ensure its effectiveness.
